Change in legal status

Over the last 12 months, the Executive Board has been considering incorporating WIBF and the different ways in which this can be done. You may recall that this was raised at the last AGM. The Executive Board has sought advice as to the most appropriate structure and has agreed on a company limited by guarantee. The new company will be registered at Companies House making it easy for our members and third parties to access certain information. WIBF’s end of year accounts will be made publicly available. The new structure will allow WIBF to contract with third parties in its own right. The Executive Board will become the directors and guaranteeing members of the new company (as required by the Companies Act 2006) (CA06) and will continue to manage the company on behalf of its members.

The following changes will need to be made to the constitution:

1) a new class of member is to be created: ‘Guaranteeing Member’ - the CA06 requires that certain members of a company limited by guarantee ‘guarantee’ its liabilities in the event of the company failing. The members of the Executive Board will be required to provide £1 guarantee to this effect. This is a common structure for membership organisations. A list of the ‘Guaranteeing Members’ (only) will be available at Companies House.

Crucially, the terms of membership for each individual and corporate member will remain the same. The Executive Board will continue to manage WIBF in the same way

2) the constitution will form the ‘articles of association’ of the company, in line with the CA06 and the relevant sections of the CA06 will apply to the company.

3) the members of the Executive Board will become the directors of the company.

4) the name will change to Women in Banking and Finance Limited.

 

As member consent is required, the change in legal status will be discussed at the AGM.

d) the name will change to Women in Banking and Finance Limited.
